1. Agreement to Terms
By accessing or using NexRadar ("Service"), operated by NexRadar Inc. ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
These Terms constitute a legally binding agreement between you and NexRadar Inc. regarding your use of the Service. Please read them carefully.
2. Description of Service
NexRadar is a sales intelligence platform that processes publicly available SEC (Securities and Exchange Commission) filings and uses artificial intelligence to generate insights, summaries, and recommendations for sales and go-to-market purposes.
3. Important Disclaimers Regarding AI-Generated Content
BY USING THIS SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE TO THE FOLLOWING:
3.1 AI Processing Limitations
The Service uses artificial intelligence and machine learning technologies to process, analyze, and interpret SEC filings and other data. You understand and agree that:
- AI-generated content may contain errors, inaccuracies, omissions, or misinterpretations
- The AI may fail to identify, process, or correctly interpret material information in filings
- Materiality scores, opportunity scores, confidence levels, and other metrics are algorithmic estimates and not guarantees of accuracy or relevance
- The AI may miss important filings, events, or signals entirely
- Summaries, insights, and recommendations may be incomplete, misleading, or incorrect
- The AI may misunderstand context, industry terminology, or the significance of disclosed information
- Talking points, outreach recommendations, and suggested actions are generated suggestions only and may be inappropriate for your specific situation
3.2 No Guarantee of Completeness
We do not guarantee that the Service will capture, process, or display all SEC filings or that any particular filing will be processed accurately or in a timely manner. Filings may be delayed, missed, or incorrectly categorized. You should not rely solely on NexRadar for complete coverage of SEC filings.
3.3 Not Financial, Legal, or Investment Advice
The Service is intended for sales intelligence purposes only. Nothing in the Service constitutes financial advice, investment advice, legal advice, or any other professional advice. The Service should not be used as the basis for any investment decisions, securities transactions, or legal actions. Always consult qualified professionals for such matters.
3.4 User Responsibility
You are solely responsible for:
- Verifying all information obtained through the Service against original SEC filings and other authoritative sources
- Making your own independent judgments regarding the accuracy, relevance, and applicability of any AI-generated content
- Any decisions, actions, or communications you make based on information from the Service
- Ensuring your use of the Service complies with all applicable laws and regulations
4. Subscription and Payment
4.1 Subscription Plans
Access to the Service requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified at our discretion with reasonable notice to subscribers.
4.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selected plan). You authorize us to charge your designated payment method for all fees associated with your subscription.
4.3 No Refunds
ALL PAYMENTS ARE NON-REFUNDABLE. You may cancel your subscription at any time, but you will not receive a refund for any amounts already paid. Upon cancellation, you will retain access to the Service through the end of your current billing period, after which your access will terminate.
This no-refund policy applies regardless of:
- Your level of usage or satisfaction with the Service
- Any perceived errors, inaccuracies, or limitations in AI-generated content
- Changes to Service features or functionality
- Any other reason, except as required by applicable law
4.4 Cancellation
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Service until the end of the period for which you have paid.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, NON-INFRINGEMENT, OR RELIABILITY.
- WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
- IN NO EVENT SHALL NEXRADAR INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
- WE SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR COSTS ARISING FROM YOUR RELIANCE ON AI-GENERATED CONTENT, MISSED OR MISINTERPRETED FILINGS, ERRORS IN ANALYSIS, OR ANY DECISIONS OR ACTIONS YOU TAKE BASED ON INFORMATION FROM THE SERVICE.
6. Indemnification
You agree to indemnify, defend, and hold harmless NexRadar Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of any third party
- Any decisions, actions, or communications you make based on information from the Service
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Resell, redistribute, or sublicense access to the Service without our written permission
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use automated means to access or scrape data from the Service beyond normal usage
- Interfere with or disrupt the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service or related systems
- Use the Service to engage in insider trading or other securities violations
8. Intellectual Property
The Service, including its design, features, content, and underlying technology, is owned by NexRadar Inc. and is protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes only.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.
10. Service Modifications
We reserve the right to modify, suspend, or discontinue the Service (or any features thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
11. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. No refunds will be provided upon termination.
12. Dispute Resolution
Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the decision of the arbitrator shall be final and binding. You waive any right to participate in a class action lawsuit or class-wide arbitration.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
